Welcome to Encirco. These Terms & Conditions ("Terms") govern your access to and use of Encirco's website, software platform, applications, and related features (collectively, the "Platform").

Encirco is a software platform that helps businesses start, operate, and stay compliant by providing tools for business formation, bookkeeping, tax management, compliance tracking, legal document generation, and business record management.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Platform.

You must be at least eighteen (18) years old or otherwise legally capable of entering into binding agreements under applicable law to use the Platform.

If you access the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You are responsible for ensuring that the information you provide to Encirco is accurate, complete, and up to date.

The information we collect is used to provide, operate, and improve our services. This includes facilitating business registration, generating legal documents, supporting bookkeeping and tax-related services, monitoring compliance obligations, verifying identities, processing payments, and responding to customer support requests.

We may also use information to communicate important updates, improve our products, detect fraudulent activity, and comply with applicable legal and regulatory requirements.

Encirco grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform in accordance with these Terms.

You agree not to misuse the Platform, interfere with its operation, attempt unauthorized access to any system or data, upload malicious content, or use the Platform for unlawful purposes.

You may not copy, reproduce, distribute, reverse engineer, modify, or create derivative works from any part of the Platform except where expressly permitted by law.

Encirco allows users to upload, generate, and store business documents and records through the platform. These documents may include incorporation records, contracts, tax documents, compliance records, licenses, certificates, and other business information.

You retain ownership of the information and documents you upload to Encirco. We process and store such information solely for the purpose of delivering and improving our services and do not claim ownership over your content.

Encirco provides software tools and workflows designed to help businesses manage administrative processes, including business formation, bookkeeping, tax-related workflows, compliance tracking, legal document generation, and business record management.

The Platform is intended to assist users in organizing and managing business information. Users remain solely responsible for reviewing information generated through the Platform and for ensuring compliance with applicable laws, regulations, and filing requirements.

Encirco does not guarantee the accuracy, completeness, approval, or outcome of any filing, registration, submission, or regulatory process carried out using information generated or stored within the Platform.

The Platform may include AI-powered features designed to assist users with business administration, compliance tracking, bookkeeping workflows, and related business activities.

Information generated by AI features may be incomplete, inaccurate, or unsuitable for a particular situation. AI-generated content should not be considered legal, accounting, tax, financial, or professional advice. Users remain solely responsible for decisions made based on AI-generated information.

Certain features of the Platform may require a paid subscription.

Subscription fees are billed in advance and are payable according to the pricing plan selected by the user. Unless otherwise stated, subscription fees are non-refundable.

Encirco reserves the right to modify pricing, subscription plans, or billing structures at any time. Any changes will be communicated in advance where required by law.

Failure to pay applicable fees may result in suspension or termination of access to paid features.

You may upload, create, generate, store, or manage information, documents, and records through the Platform. You retain ownership of all content you submit to the Platform.

By using the Platform, you grant Encirco a limited right to host, process, store, transmit, and display such content solely for the purpose of providing and improving the Platform.

You are solely responsible for the legality, accuracy, and reliability of any content uploaded to the Platform.

The Platform, including its software, technology, trademarks, branding, design, content, and underlying systems, is owned by Encirco or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants users any ownership rights in the Platform or its intellectual property.

Except as expressly permitted, users may not copy, distribute, modify, reproduce, or exploit any part of the Platform without prior written permission.

Encirco continually improves and updates the Platform.

We may modify, suspend, discontinue, or remove features from the Platform at any time. We do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

Maintenance, updates, technical issues, or third-party service interruptions may affect access to the Platform from time to time.

The Platform may integrate with third-party services, applications, or providers.

Your use of third-party services may be subject to separate terms and policies provided by those third parties. Encirco is not responsible for the availability, functionality, or practices of third-party services.

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Encirco disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Encirco does not warrant that the Platform will meet your requirements or operate without interruption or error.

To the fullest extent permitted by law, Encirco shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to the use of the Platform.

In no event shall Encirco's total liability exceed the amount paid by the user to Encirco during the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Encirco, its affiliates, officers, employees, partners, and licensors from any claims, liabilities, losses, damages, expenses, or costs arising from your use of the Platform, your content, or your violation of these Terms.

You may stop using the Platform at any time. Encirco reserves the right to suspend, restrict, or terminate access to the Platform if a user violates these Terms, engages in fraudulent activity, compromises platform security, or otherwise creates legal or operational risk.

Termination does not affect rights or obligations that accrued before termination.

We may update these Terms from time to time.

Updated versions will be published on this page with a revised effective date. Continued use of the Platform after any changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Nigeria.
